Not agreeing to the “terms” in this document eliminates your ability to use the “site”, “App”, and or any services offered by ScriptCo Inc as a member.

ScriptCo, Inc. is a licensed pharmacy, as well as an e-commerce web site and a mobile application.

ScriptCo, Inc., DBA ScriptCo Pharmacy provides at-cost medications to patients with a valid prescription and an active ScriptCo membership. Non-members pay a non-member fee of $50 per medication, per transaction. Patients are able to do the following on the website:

1. Create an online profile that includes relevant information about the patient.
2. Sign up for a membership.
3. Pay for their medications online.
4. Request new prescriptions.
5. Manage refills online.

Whether you are a member or non-member of ScriptCo, by accepting these terms, you are accepting ScriptCo as your agent, and you are agreeing to allow ScriptCo to take action on your behalf as often as necessary to carry out the following.

• Contacting any or all of your pharmacies to request a transfer of your prescription(s) to ScriptCo pharmacy.
• Obtain your medical information, which includes protected health information, from your healthcare provider(s) and/or healthcare entities.
• Request your medication history, including all medications that you may be receiving from other pharmacies.
• Request any and all allergies.
• Request or initiate a prescription refill or auto-refill.
• Request a prescription renewal authorization from your prescriber(s).
• Bill your credit card for any and all applicable expenses (including but not limited to membership dues) unless your account is canceled before the renewal date.

ScriptCo is your agent only for the above items and for the purpose of providing the services in the terms of use throughout this document. ScriptCo will cease to be your agent if this agreement is terminated by either party, immediately upon termination.

Your use of the Site as well as the App is subject to ScriptCo Pharmacy’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices. The ScriptCo Privacy Policy can be found at https://www.scriptco.com/privacy-policy, and is combined into this Agreement.

Visiting or using the Site, sending or receiving emails, sending or receiving text messages, sending or receiving faxes, or use of the App with ScriptCo Pharmacy constitutes “electronic communications.” You consent to send or receive these electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you through these electronic communications satisfy any legal requirement that such communications be in writing. In the event of phone calls, you consent that all calls will be recorded to ensure the best customer service and the accuracy of information disseminated. By giving ScriptCo your mobile phone number, you agree to be notified via text message when you have medications ready for payment and to be receive for refill reminder text messages.  Both can be opted out by replying to the text message. The refill reminder text message can also be disabled in your member portal.

If and when you use the ScriptCo Site or App, you are responsible for maintaining the confidentiality of your account username and password, and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that ScriptCo Pharmacy is not responsible for third-party access to your account that results from theft or misappropriation of your account. ScriptCo Pharmacy and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content at our sole discretion at any time, with or without notice.

You guarantee that any prescription received by ScriptCo on your behalf is for your personal use alone. By accepting the Terms, you agree to this statement. You also agree to read any and all applicable information relating to your prescription(s) that you receive from ScriptCo. You agree to receive all patient education sheets for all prescriptions electronically (by scanning the QR code on the prescription label). If you have any questions or concerns about taking a medication, please speak to your provider or a pharmacist at ScriptCo during normal business hours to address your questions or concerns.

ScriptCo Pharmacy does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use the Site only with permission of a parent or guardian.

If you signed up and paid for your membership, you may cancel your membership subscription at any time. However, NO refunds will be given for subscriptions canceled. Additionally, no refunds will be given for any medications once the medication has left the pharmacy with a delivery provider. Please contact us at info@scriptco.com with any questions.

Not all orders may be accepted. ScriptCo may need more information from either the patient or the prescriber’s office to process prescriptions. ScriptCo does not accept prescriptions for federally-scheduled nor state-scheduled controlled substances. ScriptCo may choose to either accept or refuse prescriptions for over-the-counter (OTC) items. ScriptCo reserves the right to cancel any transaction, at any time, with or without notice. While ScriptCo will request a transfer of medications from a pharmacy, or a new prescription, refill, or other information from a provider, ScriptCo cannot ensure a timely response from the pharmacy or provider. The time for us to fulfill your request is greatly impacted by how long it takes the transferring pharmacy or provider to carry out our requests. The price that you pay for medications can change based on the acquisition cost and many other factors. ScriptCo reserves the right to modify prices at any time based on these causes. ScriptCo does not guarantee any pricing beyond what you agree to pay in each transaction. The price that you pay at each transaction will be your final price for that transaction, and in no way guarantees the price that will be paid for any future transactions, although we will be doing everything in our power to keep our members’ costs as low as possible. No product or orders will be fulfilled or shipped until ScriptCo receives full payment for products ordered or prescribed. Any order that includes a refrigerated item requires special shipping and handling. ScriptCo does not guarantee in any way, shape, or form a delivery time period, as delays in product reaching the patient may be out of the control of ScriptCo. Issues during prescription processing, whether foreseen or unforeseen, may arise and impact the estimated delivery.

Maybe: Any delivery dates provided to patients at any point in the prescription filling process are estimates, and should be interpreted as such. These estimates are decided by third-party data and communication from the shipping/delivery company.

ScriptCo members are entitled to receive their medications with no shipping cost:

• Annual membership fees cover free shipping on four shipments per year (12 months). Free shipping does not include orders that have a refrigerated medication in them.
• Quarterly membership fees cover free shipping on one shipment per quarter (3 months). Free shipping does not include orders that have a refrigerated medication in them.

These free shipments are shipped USPS first class mail. Non-members and members who have used all of their free shipping will have the option to pay for shipping at the current rates on the website for the following methods:
1. USPS first class mail
2. 2-3 Day delivery
3. Packages that include refrigerated item(s) require expedited shipping

Payments owed to ScriptCo can be received over the phone with a major credit card, through the patient’s portal on the Site, or through the patient’s portal on the App. The payment processor for ScriptCo is Authorize.net. By agreeing to these terms, you are agreeing to the Authorize.net terms of use as well. You agree to provide ScriptCo all information accurately, and you authorize ScriptCo to share it securely with Authorize.net in order to process payments. By paying for a ScriptCo membership, the credit card information on file will be charged each time the full amount is owed (either quarterly or annually depending on the member’s selection). If you need to change the card on file, or would like to opt out of auto-pay, please log in to your user account on www.scriptco.com to make the necessary changes.

ScriptCo is NOT an insurance plan in any way, shape, or form. ScriptCo is a membership-based pharmacy in which its members enjoy access to prescribed medications or goods at a low cost. ScriptCo’s goal is to offer its members more affordable medications. The dollars you pay to ScriptCo fall outside of any and all insurance-related items, including but not limited to, deductibles, coinsurance, donut holes, and/or copays that count toward your overall deductible contributions to any insurance plan you may independently hold.

ScriptCo’s savings claims are based on ScriptCo prices vs retail prices that are found through a multitude of sources, including printed sources, online sources, historical pricing publications, and verbally or in writing from our members.

By using the medication quote tool titled “Calculate Your Estimated Savings” on the ScriptCo home page, you are acknowledging that the price(s) quoted is just that- “a quote.” Prices are subject to change due to price fluctuations and inventory stock from wholesalers at the time of prescription fulfillment. ScriptCo always strives to bring patients the lowest cost, but the “Calculate Your Estimated Savings” quote tool can never be 100% accurate.

ScriptCo, Inc. is not available in all places. The Site, App, and/or the services ScriptCo offers are only accessible in states where ScriptCo Pharmacy is licensed and approved to do business. ScriptCo’s services are only available within the United States of America, in the “Licensed States” section of the website. By accepting the Terms, you are certifying that you are physically located or have a residence in the state in which ScriptCo, Inc. can legitimately and legally service and/or operate.

The Site may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of ScriptCo Pharmacy, and ScriptCo Pharmacy is not responsible for the content of any Linked Site, including and without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. ScriptCo Pharmacy provides these links to you only as a convenience, and the inclusion of any link does not imply endorsement by ScriptCo Pharmacy of the site or any association with its operators.

Certain services made available via the Site are delivered by third-party sites and organizations. By using any product, service, or functionality originating from the www.scriptco.com domain Site or App, you hereby acknowledge and consent that ScriptCo Pharmacy may share such information and data with any third party with whom ScriptCo Pharmacy has a contractual relationship to provide the requested product, service, or functionality on behalf of Site users and patients.

You are granted a non-exclusive, non-transferable, revocable access to use the Site and the App strictly in accordance with these terms of use throughout this document. As a condition of your use of the Site and App, you warrant to ScriptCo Pharmacy that you will not use the Site or App for any purpose that is unlawful or prohibited by these Terms. You may not use the Site or App in any manner which could damage, disable, overburden, or impair the Site or App, or interfere with any other party’s use and enjoyment of the Site or App. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for or through the Site or App.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of ScriptCo Pharmacy or its suppliers and is protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. ScriptCo Pharmacy’s content is not for resale. Your use of the Site or App does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of ScriptCo Pharmacy and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of ScriptCo Pharmacy or our licensors except as expressly authorized by these Terms.

You will be able to connect your ScriptCo Pharmacy account to third-party accounts. By connecting your ScriptCo Pharmacy account to your third-party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third-party sites). If you do not want information about you to be shared in this manner, do not use this feature.

The Services controlled, operated, and administered by ScriptCo Pharmacy from our offices within the USA do not offer any service or product to anyone outside of the USA. If you access the Service from a location outside the USA, you are doing so without consent and you are responsible for compliance with all local laws. You agree that you will not use ScriptCo Pharmacy content or services, accessed through the Site or the App, in any way, shape, or form, outside of the USA.

You agree to indemnify, defend, and hold harmless ScriptCo Pharmacy, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of your use of, or inability to use, the Site or services, any user postings on the internet made by you, your violation of any terms of this Agreement, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. ScriptCo Pharmacy reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with ScriptCo Pharmacy in asserting any available defenses.

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise at law, or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding, or arbitration arises out of or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms, or any disputes arising as a result of these Terms, whether directly or indirectly, including tort claims that are a result of these Terms. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision, shall be determined by the arbitrator. This arbitration provision shall survive the termination of these Terms.

Any arbitration under these Terms will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. The parties agree that a party may bring claims against the other only in each individual’s capacity, and not as a plaintiff or class member in any putative class, collective or representative proceeding, such as in the form of a private attorney general action against the other. Further, unless both parties agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

The information, software, products, and services included in or available through the Site may include inaccuracies or typographical errors. Changes are periodically added to the information therein. ScriptCo, Inc. and/or its suppliers may make improvements and/or changes in the site at any time.

ScriptCo, Inc. and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, or related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is,” without warranty or condition of any kind. ScriptCo, Inc. and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall ScriptCo, Inc. and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, or consequential damages, or any damages whatsoever, including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the Site, with the delay or inability to use the Site or related services, with the provision of or failure to provide services, or for any information, software, products, services, or related graphics obtained through the Site, or otherwise arising out of the use of the Site, whether based on contract, tort, negligence, strict liability, or otherwise, even if ScriptCo, Inc. or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the site, or with any of these Terms, your sole and exclusive remedy is to discontinue using the Site.

ScriptCo Pharmacy reserves the right, in its sole discretion, to terminate your access to the Site and/or App and the related services or any portion thereof at any time, with or without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Delaware and you hereby consent to the exclusive jurisdiction and venue of courts in Delaware in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and ScriptCo Pharmacy as a result of this agreement or use of the Site and/or App. ScriptCo Pharmacy’s performance of this agreement is subject to existing laws and legal processes, and nothing contained in this agreement is in derogation of ScriptCo Pharmacy’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site and/or App, or information provided to or gathered by ScriptCo Pharmacy with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the privacy policy, warranty disclaimers, and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and ScriptCo Pharmacy with respect to the Site and App, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and ScriptCo Pharmacy with respect to the Site or App. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.

ScriptCo Pharmacy reserves the right, in its sole discretion, to change the Terms under which the Site and App are offered. The most current version of the Terms will supersede all previous versions. ScriptCo Pharmacy encourages you to periodically review the Terms to stay informed of our updates.
